TERMS OF SERVICE & PRIVACY POLICY

TERMS OF SERVICE – CLIENTS

Nature of Service

Rapid Resource provides Post-Construction Coordination, managing scheduling, project completion, quality oversight, and communication between builders and post-construction service providers.

Rapid Resource coordinates qualified independent providers to assist with final project completion services. Rapid Resource acts as a coordination service facilitating communication and scheduling but does not directly perform construction or cleaning services.

Independent Contractors

Rapid Resource does not employ service providers.

All providers participating in the Rapid Resource network operate as independent contractors responsible for their own work practices, equipment, safety procedures, and legal compliance.

Nothing within this agreement creates an employment relationship between Rapid Resource and any provider.

Provider Vetting

Rapid Resource reviews provider eligibility prior to including providers in the network. Verification may include review of:

• Liability insurance
• Certifications where applicable
• Work experience
• Basic eligibility to perform services

Clients acknowledge that Rapid Resource performs this vetting as part of its coordination services.

Fees and Payment

Clients pay a Coordination / Project Management Fee to Rapid Resource for project coordination services.

The total project pricing, including any coordination fee, will be disclosed and agreed upon prior to the start of work.

Service providers receive payment directly from clients for services performed.

Rapid Resource is not responsible for disputes between clients and providers regarding project payment.

Non-Circumvention

Clients agree not to contact, hire, or contract directly with any provider introduced through Rapid Resource outside of the Rapid Resource coordination process for a period of 12 months following the end of the business relationship.

Attempts to bypass Rapid Resource may result in a circumvention fee equal to the estimated value of the coordination services that would have been provided.

Project Conditions & Delays

Rapid Resource is not responsible for cancellations, delays, or rescheduling initiated by clients or providers.

Rapid Resource is not liable for project interruptions caused by circumstances beyond reasonable control including but not limited to:

• severe weather
• natural disasters
• power outages
• labor disputes
• government restrictions
• unsafe site conditions
• construction delays
• acts of nature or other unforeseen events.

Site Safety & Liability

Construction environments may involve inherent risks including unfinished structures, debris, equipment, and hazardous materials.

Rapid Resource does not control jobsite conditions and is not responsible for site safety compliance.

Clients and providers remain fully responsible for maintaining safe work environments.

Rapid Resource is not liable for injuries, accidents, or property damage occurring at any project site.

Dispute Resolution

Rapid Resource is not responsible for disputes between clients and providers regarding service quality, performance, scheduling, or payment.

Clients and providers agree to attempt good-faith resolution directly between themselves.

Any legal matters arising from services coordinated through Rapid Resource shall be governed by the laws of the State of Nevada.

Confidentiality

Clients may receive limited provider information necessary for project coordination and payment.

Provider personal contact information and business details remain confidential and may not be shared outside the coordination process.

Use of Website

All website content including text, images, and branding is the property of Rapid Resource.

The website may only be used for lawful purposes related to construction project coordination services.

Modifications

Rapid Resource may update these Terms of Service at any time.

Continued use of the Rapid Resource website or services constitutes acceptance of updated terms.

Governing Law

These Terms are governed by the laws of the State of Nevada, and any disputes shall be resolved within Nevada courts.

Non-personal analytics data may also be collected for website performance improvements.

• connect clients with providers
• improve service operations

Confidentiality

Client information is not shared publicly and is only shared with providers to the extent necessary for project coordination and payment processing.

Data Security

Reasonable safeguards are used to protect stored information. However, no system can guarantee absolute security due to inherent internet transmission risks.
